Terms of Service

1. Acceptance of Terms

By accessing or using the FilAm platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

FilAm Inc. ("FilAm," "we," "us," or "our") reserves the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

2. Platform Description

FilAm is a talent-matching platform that connects US-based businesses ("Employers") with vetted Filipino professionals ("Specialists"). FilAm facilitates the matching process, payment processing, and ongoing work management tools, but does not directly employ Specialists.

3. User Accounts

To access the Platform, you must create an account. You agree to:

• -Provide accurate, current, and complete information during registration
• -Maintain the security of your password and account credentials
• -Notify FilAm immediately of any unauthorized use of your account
• -Accept responsibility for all activities that occur under your account

FilAm reserves the right to suspend or terminate accounts that violate these Terms or that remain inactive for extended periods.

4. Employer Terms

As an Employer on FilAm, you agree to:

• -Post accurate and complete job descriptions
• -Treat all Specialists with respect and professionalism
• -Pay invoices on time in accordance with agreed payment schedules
• -Comply with all applicable employment and contractor laws in your jurisdiction
• -Not solicit Specialists off-platform to circumvent FilAm's fees

5. Specialist Terms

As a Specialist on FilAm, you agree to:

• -Provide truthful information on your profile, including skills, experience, and qualifications
• -Complete all assessments honestly and without assistance
• -Deliver work to the standard agreed with your Employer
• -Maintain confidentiality of Employer information
• -Comply with all applicable Philippine laws regarding remote work and taxation

6. Payments & Fees

All payments are processed through the FilAm Platform. Employers are billed according to the agreed hourly rate or project fee. FilAm charges a platform service fee for matching, vetting, payment processing, and platform maintenance services. Full fee details are available on our Fees & Platform Service page.

Payment disputes must be submitted within 14 days of the invoice date. FilAm's decision on payment disputes is final.

7. Code of Conduct

All users agree not to:

• -Harass, discriminate against, or demean any other user
• -Post false, misleading, or defamatory content
• -Attempt to gain unauthorized access to the Platform or other accounts
• -Use the Platform for any unlawful purpose
• -Reverse-engineer or scrape any part of the Platform

8. Intellectual Property

Work product created by a Specialist for an Employer is owned by the Employer upon full payment, unless otherwise agreed in writing. FilAm retains all rights to its Platform, branding, matching algorithms, and proprietary technology.

9. Termination

Either party may terminate their account at any time with 14 days' written notice. FilAm may terminate accounts immediately for material violations of these Terms. Upon termination, outstanding invoices remain due and payable.

10. Limitation of Liability

To the fullest extent permitted by law, FilAm's total liability for any claims arising from use of the Platform shall not exceed the total fees paid by you to FilAm in the three months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, USA. Any disputes shall be resolved through binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association.
